KIDS SAFETY HOUSE USE AGREEMENT

AS A RESULT OF THE APPROVED REQUEST FOR USE OF THE BERKS COUNTY KIDS
SAFETY HOUSE ON _______________________________________________

THIS AGREEMENT is made this________day of_______________,
between the KIDS SAFETY HOUSE TASK FORCE, a coalition comprised of the BURN PREVENTION FOUNDATION and the BERKS COUNTY KIDS SAFETY HOUSE TASK FORCE, with offices located at 5000 Tilghman Street, Suite 215, Allentown, Pennsylvania 18104.

In consideration of the mutual covenants contained herein, and intending to be legally bound, the parties agree as follows:

    1. USE AND STAFFING: The User Agrees to:
      A. Use the Kids Safety House and its features only for fire safety and related kids personal safety instruction purposes and adhere to the BERKS COUNTY KIDS SAFETY HOUSE OPERATIONS MANUAL;

      B. Limit the number of program participants per session to fifteen (15) program participants on each floor for a total of thirty (30) program participants, not including the trained instructors and their trained assistants;

      C. Provide at least two (2) adult trained instructors and four (4) trained assistants in the Kids Safety House during operation;

      D. Send at least one (1) adult representative to a Berks County Kids Safety House Task Force orientation session for training as a Kids Safety House Program Instructor. This representative may then serve as a train-the-trainer to instruct the remainder of the organization using the materials and information the Task Force has provided;

      E. Operate the Kids Safety House Program using only those adults trained as Program Instructors and volunteer assistants.

      F. Adhere strictly to presentation of the Kids Safety House Program as prescribed by the Task Force at the orientation session and as outlined in the Berks County Kids Safety House Operation Manual and Program Literature; and

      G. Complete and submit to the Task Force a Program Accounting Report identifying the participants, and such other pertinent information and data that the Task Force may request, within ten (10) days of the use of the Kids Safety House.

    2. TRANSPORTATION OF KIDS SAFETY HOUSE: The User, at its sole cost and expense, agrees to arrange for the transportation of the Kids Safety House to its intended program site(s) and back to the Kids Safety House storage area using a transport vehicle meeting the minimum specifications as listed in the Berks County Kids Safety House Operations Manual.

    3. INSPECTION OF KIDS SAFETY HOUSE: The Task Force and the User shall inspect the Kids Safety House before and after use. The User agrees to pay the Task Force for any damage to the Kids Safety House other than normal use and wear and tear, and agrees to return the Kids Safety House in a clean and ready-to-use condition.

    4. INDEMNITY AND INSURANCE: The User hereby agrees to indemnify and hold the Task Force harmless for any and all claims (including attorney's fees) arising out of, or relating to, the use and operation of the Kids Safety House (including transportation of the Kids House by the User) and any failure to properly communicate or adhere strictly to presentation of the Kids Safety House program as prescribed by the Task Force at the orientation session and as outlined in the Task Force literature. Further, the User shall provide the Task Force with a certificate of insurance (hazard and general liability) naming the Task Force (and each of its component parties) as an additional insured with limits and coverage satisfactory to the Task Force prior to rental. This Agreement shall be provided by the User to its insurance carrier and such insurance coverage shall specifically cover, among other things, the liability which is the subject of this indemnification provision.

    5. MODIFICATION: This Agreement may be amended or modified only in writing, and signed by both of the parties hereto.

    6. ASSIGNMENT: Neither party may assign its rights or delegate its duties hereunder without the prior written consent of the other party.

    7. BINDING EFFECT: Subject to Paragraph 6, the Agreement shall insure to the benefit of, and be binding upon, the successors and assigns of the parties hereto.

    8. ENTIRE AGREEMENT: This agreement contains the whole agreement between the parties. There are no other terms, obligations, covenants, representations, or conditions, oral or otherwise, of any kind other than those set forth herein.
